These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and YMS Consulting LLC ("YMS Consulting," "we," "us," or "our"), a Virginia limited liability company. Client Responsibilities & Service Terms
Engagement Requirements
Clients are responsible for providing accurate, complete, and timely information necessary for YMS Consulting to perform services effectively.
Clients are responsible for implementing recommendations and taking action between sessions. Results depend significantly on client participation and execution.
Clients must attend scheduled sessions or provide 24 hours' notice to reschedule. Missed sessions without notice may be forfeited.
Clients grant YMS Consulting LLC and its VA team access to social media accounts, brand assets, and other materials as reasonably required to deliver services.
No Guarantee of Results
Business growth consulting involves strategy, analysis, and recommendations. While YMS Consulting LLC is committed to delivering high-quality service based on 28 years of entrepreneurship experience, we cannot and do not guarantee specific business results, revenue increases, or outcomes. Individual results depend on many factors outside our control, including market conditions, client implementation, and business circumstances.
Payment Terms
Fees & Payment
All service fees are set forth in the applicable Service Agreement provided to you prior to engagement. Fees are due in accordance with the payment schedule outlined in your Service Agreement. YMS Consulting LLC reserves the right to update its pricing at any time; any changes will not affect engagements already under a signed Service Agreement.
Late Payments
Payments not received within 5 business days of the due date may result in suspension of services. Accounts more than 15 days past due are subject to a late fee of 1.5% per month on the outstanding balance, consistent with Virginia law (Va. Code § 6.2-302 usury provisions considered). YMS Consulting LLC reserves the right to suspend or terminate services for non-payment.
Refund Policy
All fees paid to YMS Consulting LLC are generally non-refundable given the nature of professional consulting services. Exceptions may be made at the sole discretion of YMS Consulting LLC in cases of documented extenuating circumstances. Any refund requests must be submitted in writing within 7 days of the payment date.
Cancellation & Termination
Client Cancellation
One-Time Sessions: Cancellations made more than 5 business days before the scheduled session will receive a full refund of any deposit paid. Cancellations within 5 business days forfeit the deposit.
Monthly Retainers: Clients may cancel with 30 days' written notice after completing any minimum commitment period specified in the Service Agreement. No refund is issued for the current billing cycle.
Multi-Month Engagements: Early termination prior to the end of any minimum commitment period does not relieve the client of payment obligations for the remaining minimum term, as outlined in the applicable Service Agreement.
YMS Consulting Termination
YMS Consulting LLC reserves the right to terminate any engagement immediately and without refund if a client engages in abusive, harassing, or unethical behavior toward YMS Consulting staff, violates these Terms, or misrepresents material information relevant to the engagement.
Confidentiality
YMS Consulting LLC maintains strict confidentiality regarding all client information, business data, financials, and strategic information shared during engagements. We will not disclose your confidential information to third parties without your consent, except as required by law.
Clients agree to maintain the confidentiality of YMS Consulting's proprietary frameworks, methodologies, and materials (including the RISE Framework™ and B.O.L.D. Moves™) and not to reproduce, share, or commercialize these materials without written permission.
Testimonials & Case Studies
With your explicit written consent, YMS Consulting LLC may use your business results, testimonials, or anonymized case study information for marketing and promotional purposes. We will never share identifiable client information without permission.
By providing a testimonial or participating in a case study, you grant YMS Consulting LLC a non-exclusive, royalty-free, perpetual license to use that content in marketing materials, website pages, social media, and promotional content.

Indemnification
You agree to indemnify, defend, and hold harmless YMS Consulting LLC, its owner, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, or your infringement of any third-party rights.
Governing Law & Dispute Resolution

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
Jurisdiction
Any legal action or proceeding relating to these Terms or our services shall be brought exclusively in the state or federal courts located in Northern Virginia (Fairfax County or Prince William County, Virginia), and you consent to the personal jurisdiction of those courts.
Informal Resolution First
Before initiating any formal legal action, both parties agree to attempt to resolve disputes informally by contacting YMS Consulting LLC at [business email]. We will make good-faith efforts to resolve any dispute within 30 days of receiving written notice.
Optional Mediation
If informal resolution fails, the parties may agree to pursue non-binding mediation through a Virginia-based mediator before resorting to litigation. Mediation costs shall be shared equally unless otherwise agreed.
Virginia-Specific Provisions
Virginia Consumer Protection Act (Va. Code § 59.1-196 et seq.) — We conduct business in compliance with Virginia's consumer protection laws. If you believe we have engaged in a prohibited practice under the VCPA, please contact us directly before pursuing any formal complaint.
Virginia Small Business Act — YMS Consulting LLC operates as a small business in compliance with Virginia's small business regulations.
Virginia Uniform Commercial Code (Va. Code § 8.1A et seq.) — governs commercial transactions where applicable.
Virginia LLC Act (Va. Code § 13.1-1000 et seq.) — YMS Consulting LLC is organized and operated as a Virginia limited liability company in compliance with the Virginia Limited Liability Company Act.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do, we will revise the effective date at the top of this page. We encourage you to review these Terms periodically. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
Entire Agreement
These Terms, together with our Privacy Policy and any signed Service Agreement between you and YMS Consulting LLC, constitute the entire agreement between you and YMS Consulting LLC regarding your use of our website and services, and supersede all prior or contemporaneous agreements, representations, and understandings.
